Terms of Service

These Terms of Service ("Terms") are an agreement between you and STRATEGIA AGILE SOLUTIONS, INC., a Delaware corporation ("StrategIA", "we", "us" or "our"). They govern your use of valuesync.digital and the ValueSync self-assessment, results, AI assistants and related features (the "Service").

If you use the Service for an organization, you accept these Terms on its behalf and confirm you have authority to do so. If you do not agree, do not use the Service. Our Privacy Policy explains how we handle personal information.

1. The Service

  • QuickAlign self-assessment: a preliminary readiness diagnostic based on the information you provide.
  • AI-generated results: suggested initiatives, benchmarks, implementation outlines and indicative financial estimates.
  • AI assistants: a chat assistant and Agatha, an automated voice assistant that calls you at your request.
  • Report delivery and scheduling: email delivery of your report and booking a meeting with our team.

The Service is informational. Consulting engagements with StrategIA, including ValueSync engagements and the QuickAlign, FutureCanvas, ProcessSync, PulseBoard and BeyondTransform enablers, are governed only by a separate signed agreement.

2. Eligibility

You must be at least 18 years old. The Service is intended for business professionals evaluating their organization, not for personal or household use.

3. Acceptable use

You agree not to:

  • provide false information, or another person's information without their permission;
  • submit sensitive personal data, such as health data, government identification numbers or financial account numbers, or confidential information of third parties;
  • probe, scan or reverse engineer the Service, or bypass its security, rate limits or bot protection;
  • access the Service with bots or scripts, other than search engine and AI crawlers that follow our robots.txt;
  • use the Service to build a competing product, or for any unlawful purpose.

4. Results are not professional advice

ASSESSMENT RESULTS ARE PRELIMINARY AND FOR INFORMATION ONLY. THEY ARE NOT PROFESSIONAL ADVICE, A PROPOSAL OR A COMMITMENT BY STRATEGIA.

  • Results are generated automatically from your inputs and general benchmarks and may be inaccurate or incomplete.
  • Financial figures, including ROI, payback, cost and benefit estimates, are hypothetical illustrations. They are not forecasts and do not promise or guarantee any result.
  • Results are not legal, tax, accounting, investment or engineering advice. You are responsible for decisions you make with them.
  • Binding proposals, implementation plans and commitments require a signed agreement with StrategIA.

5. AI features and phone calls

  • AI outputs are generated automatically, can be wrong and should be reviewed independently before you rely on them.
  • Agatha is an automated AI voice assistant, not a person. Calls are not recorded; our team receives a written summary of the conversation.
  • By submitting your phone number, you consent to receive an automated outbound call from Agatha at that number about your assessment. Carrier charges may apply, and you can end the call at any time.

6. Intellectual property

  • Our property: the Service, its software and content, the ValueSync method, the 5+1 phase model and phase names (StrategAIze, VisionAIze, OperAIze, ScaleAIze, TransformAIze), and the names and logos of ValueSync, QuickAlign, FutureCanvas, ProcessSync, PulseBoard and BeyondTransform belong to StrategIA.
  • Your license: we grant you a limited, non-exclusive, non-transferable and revocable right to use the Service to evaluate your organization.
  • Your inputs: you keep your rights in the information you submit. You allow us to use it to provide the Service, respond to your requests and improve the Service in aggregated or de-identified form.
  • Your reports: you may use them for your internal business purposes. If you share them externally, credit ValueSync / StrategIA. You may not resell them.
  • Feedback: we may use suggestions you send us without obligation to you.

7. Free assessment

The free self-assessment is offered at our discretion and in limited numbers. We may change, suspend or end it at any time.

8. Third-party services

Some features rely on third parties, such as Calendly for scheduling. Their terms and privacy policies apply to your use of them, and we are not responsible for them.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, STRATEGIA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR ACCURATE.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, STRATEGIA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITIES, ARISING FROM THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR US$100.

11. Indemnification

You will indemnify and hold harmless StrategIA and its affiliates, officers, directors, employees and agents from claims, losses and expenses, including reasonable attorneys' fees, arising from your misuse of the Service or your breach of these Terms.

12. Suspension and termination

We may suspend or end your access to the Service at any time, including if you breach these Terms. Sections 4, 6 and 9 to 16 survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Before starting a formal proceeding, you agree to send us written notice and to try to resolve the dispute in good faith for 30 days.

Any dispute that is not resolved will be brought exclusively in the state or federal courts located in the State of Delaware, and both parties consent to their jurisdiction. Nothing in these Terms limits rights you have under mandatory consumer protection laws where you live.

14. Export controls and sanctions

You may not use the Service if you are located in a country subject to comprehensive U.S. sanctions or are on a U.S. government list of restricted parties.

15. Changes to these Terms

We may update these Terms. The date at the top shows the latest version. Continued use of the Service after an update means you accept the updated Terms.

16. General

These Terms and our Privacy Policy are the entire agreement between you and StrategIA about the Service. If a provision is unenforceable, the rest remain in effect. Not enforcing a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or in a merger, acquisition or sale of assets. If a translation of these Terms conflicts with the English version, the English version controls.
